Section 01

Introduction

These Terms & Conditions ("Terms") govern access to and use of BidClub.in ("Platform"), owned and operated by eGenAI (OPC) Private Limited ("Company").

By accessing, registering, purchasing membership, or participating in auctions, you agree to be legally bound by these Terms.

If you do not agree, discontinue use immediately.

Section 02

Nature of Platform

2.1 The Platform is a membership-based, skill-driven online auction marketplace.

2.2 The Platform facilitates time-bound competitive bidding for products listed either by the Company or approved Managers.

2.3 The Platform does NOT operate as:

Gambling Betting Lottery Prize Scheme Investment Plan Financial Instrument

2.4 Membership fee is charged strictly for digital access to auction participation services. Winning is not guaranteed.

Section 03

Eligibility

Users must:

Be 18 years or older

Be legally competent under Indian Contract Act, 1872

Provide accurate information

Use valid Gmail authentication

The Company reserves the right to verify identity at any time.

Section 04

Account Registration

4.1 Users must maintain confidentiality of login credentials.

4.2 User is responsible for all activity under their account.

4.3 Multiple accounts created to manipulate auctions may result in permanent suspension.

Section 05

Membership Structure

Basic Plan

₹99 + GST

1 Month Validity

50 Digital Bidding Credits

Max 5 bids/product/day

Premium Plan

₹199 + GST

3 Months Validity

150 Digital Bidding Credits

Max 5 bids/product/day

5.1 Membership Nature

Membership grants a:

Limited Non-transferable Non-exclusive Revocable

license to access bidding functionality.

Credits:

Have no monetary value

Cannot be exchanged

Cannot be transferred

Cannot be refunded

5.2 Non-Refundable Policy

Membership fees are strictly non-refundable except where required under applicable law. Unused credits expire upon membership expiry.

5.3 Pricing Modification

Company reserves the right to modify membership pricing prospectively without affecting active memberships.

Section 06

Bidding Rules

6.1 Each bid consumes one credit instantly.

6.2 Bids are irreversible.

6.3 System logs shall be conclusive evidence of bid placement.

6.4 Maximum 5 bids per product per day per user.

Prohibited Conduct

Users shall not:

Use bots or automated scripts

Engage in collusion

Manipulate auction results

Abuse payment chargebacks

Reverse engineer the platform

Violation may result in permanent suspension without refund.

Section 07

Auction Process

7.1 Auctions run for fixed time duration.

7.2 Highest valid bid at closing time is provisional winner.

7.3 Final confirmation subject to verification.

7.4 Company may cancel or extend auctions due to technical issues or fraud.

Decision of Company is final and binding.

Section 08

Winner Obligations

Winning bidder must complete product payment within specified time.

Failure may result in:

Cancellation

Account suspension

Re-auction

Used credits shall not be restored.

Section 09

Product Delivery

9.1 Pickup Orders

Inspection allowed before acceptance.

After acceptance:

No Refund No Return No Exchange

Transaction becomes final.

9.2 Shipped Orders

Shipping handled by third-party logistics providers.

Refund allowed only if:

Transit damage proven

Complaint within 24 hours

Mandatory unboxing video provided

Section 10

Third-Party Logistics Disclaimer

The Company:

Does not control courier operations

Does not guarantee delivery timelines

Is not liable for courier delays

Risk transfers upon delivery confirmation.

Section 11

Manager (Seller) Model

Managers:

Submit product listings

Require admin approval

Remain responsible for authenticity

Company acts as technology facilitator only. Company is not manufacturer or warranty provider.

Chargeback Abuse

Initiating chargeback after usage may result in:

Permanent suspension

Limitation of Liability

To maximum extent permitted by law:

Company liability limited to the lesser of:

₹1,000

OR Membership fee paid in last 30 days

Company not liable for:

Loss of profits

Failure to win

Emotional distress

Indirect damages

Section 15

Corporate Shield

Under no circumstances shall Director, officers, employees or agents of eGenAI (OPC) Private Limited be personally liable.

All liability limited strictly to the Company.

Section 16

Indemnification

User agrees to indemnify the Company against:

Fraud

Misuse

Legal violations

Third-party claims

Section 17

Force Majeure

Company not liable for failure due to:

Natural disasters

Government action

Internet outage

Payment gateway failure

Section 18

Dispute Resolution

Governing Law: India

Jurisdiction: Courts of Hyderabad
