Corporate Membership Agreement

Effective Date: 21/02/2026

Introduction

This Membership Agreement (“Agreement”) is entered into between:

eGenAI (OPC) Private Limited, owner and operator of BidClub.in (“Company”), AND The individual purchasing membership (“Member”).

By purchasing membership, you agree to be legally bound by this Agreement.

Registered Office: #410A, Annapurna Block, Aditya Enclave, Ameerpet, Hyderabad.

Jurisdiction: India

1. Nature of Membership

1.1 Membership is a paid digital service granting limited access to auction participation features.

1.2 Membership does NOT constitute:

  • Ownership in Company
  • Investment opportunity
  • Lottery participation
  • Gambling contract
  • Guarantee of winning
1.3 Membership fee is charged solely for access to digital bidding functionality.

2. Membership Plans

Basic Plan
₹99 + GST
  • 1 Month Validity
  • 50 Digital Bidding Credits
  • Max 5 bids/product/day
Premium Plan
₹199 + GST
  • 3 Months Validity
  • 150 Digital Bidding Credits
  • Max 5 bids/product/day

The Company reserves the right to modify pricing or plan structure prospectively.

3. Digital Bidding Credits

3.1 Bidding Credits are virtual, non-monetary usage tokens.
3.2 Credits have no cash value.
3.3 Credits are: Non-transferable, Non-exchangeable, Non-refundable.
3.4 Each bid consumes one credit instantly and irreversibly.
3.5 System-generated records shall be final evidence of bid usage.

4. Non-Refundable Policy

4.1 Membership fees are strictly non-refundable except where mandated by applicable law.

4.2 No refund shall be granted for:

  • Unused credits
  • Failure to win auction
  • Account inactivity
  • Accidental bidding
  • Internet connectivity issues
  • Suspension due to policy violation

4.3 Membership cannot be cancelled once activated.

5. Membership Validity

5.1 Membership is valid for the specified duration only.
5.2 Upon expiry: Unused credits lapse and access is suspended.

6. Member Responsibilities

Member agrees:

  • Accuracy of info
  • Account confidentiality
  • No multiple accounts
  • No automated tools
  • No outcome manipulation

Violation may result in suspension without refund.

7. Auction Participation Disclaimer

7.1 Outcomes depend on competitive bidding.
7.2 Winning is not guaranteed.
7.4 Participation is voluntary and skill-based.

8. Account Suspension

Company may terminate membership for: Fraud, Collusion, Chargeback abuse, or Policy violations.

No refund shall be issued upon suspension.

9. Chargeback & Payment Dispute

If Member initiates chargeback after using credits/membership, Company may suspend account permanently and recover costs.

Member agrees that digital service delivery begins immediately upon purchase.

10. Limitation of Liability

Maximum Liability limited to the lesser of:

• Membership fee paid in last 30 days

• ₹1,000

Company not liable for failure to win, emotional distress, or indirect damages.

11. Corporate Liability Shield

Under no circumstances shall Director, Officers, Employees or Agents of eGenAI (OPC) Private Limited be personally liable.

All liability limited strictly to the Company.

12. Force Majeure

Company not liable for interruptions due to nature, government, internet, or cyber incidents beyond control.

13. Dispute Resolution

Governing Law: India

Disputes subject to arbitration under Arbitration and Conciliation Act, 1996.

14. Modification of Agreement

Company reserves the right to modify this Agreement at any time. Continued use constitutes acceptance.

15. Member Declaration

I am 18 years or older.
I understand winning is not guaranteed.
I accept the non-refundable nature of membership.

By purchasing membership, the Member declares full acceptance of this Agreement.
